Two companies, one mission

Legal structure

Since mid-2021 we are structured as a collaboration between two legally distinct companies – one for-profit and the other not-for-profit.

Improv Conspiracy Pty Ltd (ABN: 88 169 173 148) is our original corporate entity – now responsible for public and corporate workshops, liquor licensing, and the management of our three commercially-leased venues in the Melbourne CBD:

  • The Improv Conspiracy Theatre Level 1, 19-23 Meyers Place
  • The Improv Conspiracy Training Annex Room 502, 37 Swanston Street
  • Theory Bar Ground Floor, 19-23 Meyers Place

Improv Conspiracy Productions Ltd (ABN: 53 651 354 219) is a not-for-profit company limited by guarantee in charge of all performance-based production and scheduling endeavours taking place at The Improv Conspiracy Theatre during our regular season1, including:

  • The casting, development and scheduling of our in-house performance and comedy-writing ensembles for shows like:
  • The selection and scheduling of independent 3rd party shows that wish to perform at the theatre for monthly residencies, season runs or one-off performances
  • Maintaining weekly community-oriented lineup shows offering newer creative teams the chance to put up their acts in a supportive environment
  • Offering open-access "jams" for newer community members to gain valuable stage experience as individuals
  • Management of our Diversity & Inclusion scholarships program

The not-for-profit's primary form of income is ticket sales, and is further supported by donations – with numerous grant applications currently pending.

We are currently working to acquire DGR status for this entity

1 Our regular season runs Thursday–Sunday nights, all year round, excluding the dates of the Melbourne International Comedy Festival and Melbourne Fringe Festival, during which time the theatre is hired out to external parties. There are also occasional dark Sundays when the theatre is used for Student Showcase performances managed by the education department.

The two companies have separate finances and governance, and operate via a mutual cooperation agreement.

Historically, the not-for-profit has always run at a loss, with the for-profit company being the largest single donor keeping it afloat.
